User Agreement

A. General

CIEL TERRE provides business users with software and integrations for e-commerce platforms, including product listings, order processing, purchasing, supplier and warehouse management, and data reporting. Merchants can use these online services for their daily e-commerce operations.

This Acceptable Use Policy (AUP) defines permitted use of CIEL TERRE's products, systems, networks, services, hosted servers, and related materials (together, the 'CIEL TERRE Online Services'). Its purpose is to protect service quality, customer privacy, and the integrity, security, and reliability of those services. Any party purchasing CIEL TERRE services must comply with this AUP as a condition of service.

Customers are fully responsible for the content, interface protocols, and services they access, disclose, publish, or otherwise use through the CIEL TERRE Online Services.

B. Prohibited Activities

A customer or other service user violates CIEL TERRE policy by carrying out or participating in any activity listed below, whether directly or indirectly, and whether completed or attempted.

Each activity listed below is a prohibited activity and constitutes misuse of the Online Services or interference with other customers. These activities are strictly forbidden:

1) Advertising, transmitting, or otherwise obtaining software, programs, products, or services that violate this AUP, including tools for unsolicited commercial communications or bulk mail ('spam'), ping floods, and denial-of-service attacks.

2) Impersonating users or services, or using tools to conceal a customer or end user's identity or contact details. This includes intentionally disclosing, deleting, falsifying, or misrepresenting important information such as business, order, product, or operational data.

3) Engaging in any other activity that:

- violates any law or regulation, including by exposing user data, invading privacy, selling confidential business data, dealing in prohibited sexual content, or infringing copyrights, trademarks, patents, trade secrets, or other intellectual property;

- violates CIEL TERRE's exclusive rights under an applicable license agreement;

- threatens the integrity or security of a network or computer system, including by distributing viruses, Trojan horses, worms, mail bombs, keyloggers, spyware, adware, or similar harmful code;

- harms or attempts to harm minors in any way;

- uses the services to evade taxes, charges, or other required payments;

- degrades or interferes with another user's use of a service;

- breaches a legal obligation to a third party, such as a contractual or duty-of-care obligation; or

- violates generally accepted standards of internet or network conduct, including unauthorized web-page modification, network scanning, or system intrusion.

4) Conducting any of the above activities through another provider while directing the activity through a CIEL TERRE account, mail relay, or other service. An actual or attempted violation by a customer, its end user, or a third party acting on their behalf is treated as a violation by that customer or end user.

C. Rights and Remedies

If CIEL TERRE determines that a customer, representative, or end user has violated this AUP, failed to comply with it, or engaged in or permitted a prohibited activity, it may take measures it considers appropriate, including any of the following:

1) Suspend or terminate the customer's service at any time;

2) Warn the customer;

3) Bring legal proceedings and seek reimbursement of costs arising from the violation, including reasonable administrative and legal expenses;

4) Block traffic from known IP ranges associated with unlawful activity to protect customer systems and network resources;

5) Take further legal action against the customer; and

6) Investigate unlawful conduct and notify the relevant authorities.

If a court orders CIEL TERRE to disclose a customer's identity in connection with an allegation of service misuse, CIEL TERRE may do so. It may also disclose identity or usage information to police or other public authorities when required by law.

CIEL TERRE will consider the circumstances and merits of each complaint. It may decide not to act against a customer even if the complaint alleges an AUP violation.

Where practicable and permitted by law, CIEL TERRE may use technical measures to prevent prohibited activities. It may charge a customer for the actual administrative costs of identifying a violator and removing or interrupting the related service, or of preventing or responding to the activity.

Nothing in this AUP limits CIEL TERRE's legal rights or remedies for prohibited activities.

This AUP does not affect the terms and conditions applicable to international network services provided within the CIEL TERRE network.

D. Password Protection

Customers must protect their passwords and are responsible for their authorized or unauthorized use. Without written authorization, a customer may not disclose a password or use, or allow others to use, CIEL TERRE services to guess passwords or access other systems or networks. If a network or device is compromised, CIEL TERRE may assist in an investigation or remove the violator from the network using procedures it considers reasonable.

E. Enforcement and Changes to This AUP

If any provision or part of this AUP is held invalid, the affected wording will be treated as deleted and the remaining provisions will remain in force.

CIEL TERRE may update this AUP at any time without notice. Updates take effect when published at vmrsaas.com.

F. Customer Support and Personal Information

1. PII handling policy: CIEL TERRE will establish and implement a clear process for handling personally identifiable information (PII) during customer support. Materials containing PII must be deleted promptly after support is provided.

2. Deletion process: The company will establish a standardized process to delete PII received by email, telephone, screenshot, or other means after an issue is resolved. This process includes, but is not limited to, the following steps:

The support team immediately notifies the customer that PII should be deleted. The customer confirms deletion or provides evidence of deletion. If the customer cannot delete the PII, the company will help or delete it on the customer's behalf.

3. Periodic checks: CIEL TERRE will periodically check implementation of its PII handling policy, including:

Checking support records to confirm PII was deleted after resolution; evaluating the support team's compliance; and identifying and resolving any improper handling of PII.

4. Employee training: The company will train employees regularly on the importance of protecting PII and on its policies and procedures.

5. Policy violations: The company may take appropriate disciplinary measures and, where applicable, legal action if an employee or customer violates the PII handling policy.

6. Transparency: CIEL TERRE will communicate this policy to customers and partners and provide guidance when needed to help them protect PII in their interactions with the company.

Policy updates and notices: The company will regularly review and update its PII handling policy to reflect laws, regulations, and industry practices, and notify relevant parties of changes promptly.

G. Governing Law and Jurisdiction

This policy is governed by the laws of the People's Republic of China, and both parties submit to the jurisdiction of its courts.

This policy follows the EU General Data Protection Regulation (GDPR). Business conducted by the parties in the EU is subject to the GDPR.

This policy follows the California Consumer Privacy Act (CCPA). Business conducted by the parties in the United States is subject to the CCPA as stated in the original policy.

This policy follows the Amazon Services API Developer Agreement.
